OneStream Announces Agreement to Be Acquired by Hg

OneStream has announced that it has entered into a definitive agreement to be acquired by the private equity firm Hg in an all-cash transaction valuing the company at approximately $6.4 billion. The transaction was publicly disclosed on January 6, 2026, through regulatory filings and press releases.

Under the terms of the agreement, OneStream shareholders will receive $24.00 per share in cash. The transaction is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals.

Following completion of the transaction, OneStream will become a privately held company. According to the announcement, OneStream’s existing executive leadership team will remain in place, and the company will continue to operate from its current headquarters in Birmingham, Michigan.

Hg will become the majority voting shareholder, with General Atlantic and Tidemark participating as minority investors. OneStream stated that the transaction was approved by its board of directors and by its majority voting shareholder.

Acquisitions of publicly traded enterprise software companies are not uncommon in the corporate performance management and financial planning software market. In many cases, such transactions are structured to provide ownership stability while allowing the company to operate independently following the close of the deal.

At this stage, OneStream has not announced any changes to its products, customer agreements, partner ecosystem, or support model as a result of the transaction. The company has stated that it intends to continue executing on its existing strategy following the closing of the acquisition.
